Master Terms of Service & Studio Policy
Version 1.0 · Effective Date: 9 October 2026
1. Parties, Acceptance and Definitions
- 1.1 Who We Are: These Terms of Service (“Terms”) are issued by Anurag Soni, an individual carrying on business as a sole proprietorship under the registered trade name “soundquantums” (also trading as “Sound Quantums” and “SoundQuantums”) with its principal studio at 542, Vaishali Nagar, Jaipur, Rajasthan 302021, India (Udyam Registration: UDYAM-RJ-17-0000000; GST Exempt under Section 22 of the Central Goods and Services Tax Act) (“soundquantums”, “we”, “us”, “our”). Official website: https://soundquantums.com. Official contact and legal notices: connect@soundquantums.com, +91-8094178500.
- 1.2 Who You Are: “Client” or “you” refers to the individual, artist, producer, band, record label, corporate entity, or representative booking Services. If you book on behalf of an entity or third party, you warrant that you hold full legal authority to bind that party, and you and that entity remain jointly and severally liable.
- 1.3 Age Requirement: You must be at least 18 years of age (or the legal age of majority in your jurisdiction). If younger, a parent or legal guardian must execute the booking and accept these Terms on your behalf.
- 1.4 Affirmative Acceptance: You accept and agree to be bound by these Terms by: (a) checking the acceptance box on our website booking or contact form; (b) signing, replying affirmatively to, or confirming a Booking Confirmation or invoice via email or WhatsApp; or (c) paying any Retainer or fee for Services. Electronic acceptance is legally binding under the Information Technology Act, 2000 and international electronic signature statutes.
- 1.5 Order of Precedence: In the event of an express conflict between documents, the following order of precedence governs: (a) a formal bilateral written agreement signed by both parties; (b) the project Booking Confirmation / Invoice; (c) these Terms; (d) descriptive marketing materials on our website.
-
1.6 Key Definitions:
- Booking Confirmation: Our written quote, invoice, or work order transmitted by email, website portal, or WhatsApp specifying the Services, package tier, fees, deliverables, revision allocation, and Turnaround Target.
- Client Materials: All audio files, multitracks, consolidated stems, rough demos, MIDI, lyrics, reference tracks, and creative instructions supplied by you.
- Studio Contributions: The specialized engineering and acoustic post-production work executed by soundquantums, including balance, spectral unmasking, compression, equalization, saturation, spatial processing, vocal calibration/tuning, noise reduction, and mastering.
- Studio Materials: Proprietary technical assets owned or licensed by soundquantums independently of the project, including DAW session files, routing templates, custom plugin chains, hardware recall sheets, presets, impulse responses, sound design libraries, and trade secrets.
- Preview: Any evaluation copy of a mix or master delivered in low-bitrate format (e.g., MP3/AAC), via secure streaming player, or containing spoken audio watermarks.
- Deliverables: The final, uncompressed digital audio files specified in your Booking Confirmation (e.g., 24-bit/48kHz WAV, 16-bit/44.1kHz streaming WAV, and mix stems where contracted under Schedule A).
- Full Payment: The complete receipt by soundquantums, in cleared and irreversible funds, of 100% of all invoiced service fees, surcharges, and applicable taxes.
- Retainer: The non-refundable advance deposit (minimum 50% of total project fee) required to reserve studio calendar time and initiate file validation.
- Business Day: Monday through Friday, excluding official public holidays in Rajasthan, India, measured in Indian Standard Time (IST).
2. Services, Intake Protocol & Turnaround
- 2.1 Service Scope: soundquantums provides remote digital audio engineering across three primary disciplines: (a) multitrack mixing and stereo/spatial mastering; (b) vocal tuning, pitch/timing calibration, and vocal mixing; and (c) audio editing, spectral repair, dereverberation, and podcast/dialogue cleanup. Specific project scope is defined in the Booking Confirmation.
- 2.2 Binding Engagement: A project is officially booked and binding only after soundquantums issues a Booking Confirmation and receives the cleared Retainer.
- 2.3 File Ingestion Protocol: Within one (1) Business Day of stem receipt, we verify files against our technical ingestion protocol (measure 1:00 time-lock sync, dynamic headroom of -6dBFS to -3dBFS, bypass of master bus limiters, uncompressed 24-bit/32-bit float PCM WAVs). If stems fail validation (due to digital clipping, severe phase issues, or missing tracks), the validation clock pauses until corrected files are supplied.
- 2.4 Turnaround Windows: Turnaround Targets commence strictly upon the later of: (a) receipt of the Retainer; and (b) successful file validation. Turnaround times are measured in Business Days as set out in Schedule A. Average turnaround metrics displayed on our website reflect historical averages and do not constitute a fixed legal deadline. If technical complexities cause an unavoidable delay, we will notify you promptly with a revised target.
- 2.5 Client Obligations & Source Flaws: You are solely responsible for: (a) supplying properly consolidated stems; (b) maintaining permanent local backups of all Client Materials; and (c) providing written notice prior to booking of any specialized delivery specifications required by your distributor, aggregator, or publisher. soundquantums is not liable for irreparable defects inherent in the source tracking (e.g., severe mic preamp distortion, phase cancellation baked into acoustic stereo pairs, or room flutter echo), though our engineers will apply reasonable corrective measures.
- 2.6 Dormant & Abandoned Projects: If a project remains inactive due to Client failure to provide feedback, files, or payment for thirty (30) consecutive calendar days following a written follow-up, soundquantums reserves the right to archive and terminate the project. In such event, the Retainer is forfeited, and project reactivation requires a ₹2,500 ($35 USD) archive retrieval fee.
- 2.7 Tools & AI Restrictions: We employ industry-standard digital audio workstations and precision digital/analog processors, including algorithmic restoration tools (e.g., iZotope RX, Celemony Melodyne). soundquantums will never introduce generative AI musical elements into your project without express written permission. We strictly prohibit the use of your Client Materials to train machine learning or artificial intelligence models, and configure all local workstations accordingly.
- 2.8 Technical Engineering vs. Songwriting Credit: soundquantums acts strictly as a technical and post-production engineering service provider. Pitch correction, vocal alignment, drum quantizing, sound design, and creative mixing direction do not confer upon soundquantums any legal claim to authorship, songwriting, composition, publishing, or master mechanical royalties. You retain 100% of the underlying musical composition.
- 2.9 Written Communication Record: Official project directives, revision instructions, and scope modifications must be delivered in writing via email or WhatsApp text messages. Spoken conversations and audio voice notes serve advisory purposes only and become binding only once confirmed in writing.
3. Fees, Payment Milestones, Cancellation & Refunds
- 3.1 Pricing & Currency: Fees are contracted in Indian Rupees (INR) for domestic clients and United States Dollars (USD) or other agreed convertible currencies for international clients. Quoted fees in your Booking Confirmation are fixed for the contracted scope.
-
3.2 Payment Milestones:
- Milestone 1 (Retainer): 50% advance deposit due upon invoice issuance. Express (24-hour) projects require 100% upfront settlement.
- Milestone 2 (Balance): 50% final balance due immediately upon Client approval of the final Preview, or upon deemed acceptance under Clause 4.4. Full Deliverables are released only after Milestone 2 clears.
- 3.3 Taxes & Deductions: All quoted rates exclude statutory taxes. Domestic invoices are subject to applicable Indian GST where statutory thresholds apply. Invoices issued to international clients qualify as zero-rated export of services under Indian foreign exchange and tax rules. If you are required by local tax law to deduct withholding tax (e.g., TDS), you must provide an official tax deduction certificate within thirty (30) days; failing which, the withheld amount remains a payable debt.
- 3.4 Payment Processing: Payments must be transmitted via our approved secure payment channels (Cashfree, Razorpay, Stripe, Wise, SWIFT wire, or official UPI). All intermediary banking charges, currency conversion spreads, and gateway merchant fees are the responsibility of the Client, ensuring soundquantums receives the full net invoiced sum.
- 3.5 Late Payment Charges: Overdue balances bear simple interest at the rate of 1.5% per month (or the maximum statutory rate under the Micro, Small and Medium Enterprises Development Act, 2006, where applicable), calculated from the due date until full realization, alongside documented recovery costs.
-
3.6 Cancellation & Termination Schedule:
Point of Project Termination Financial Settlement & Refund Policy Cancellation prior to Commencement of Work Retainer refunded, minus an administrative and file inspection fee of ₹1,000 ($15 USD). Cancellation after Commencement of Work, prior to first Preview Retainer is non-refundable and retained by soundquantums as liquidated damages for allocated studio time. Cancellation after delivery of first Preview Retainer is non-refundable; final balance is waived; no final Deliverables, licenses, or uncompressed WAVs are issued. Cancellation by soundquantums (except for Client breach/unlawful content) 100% full refund of all amounts received for unperformed work. Delay exceeding 10 Business Days past revised Turnaround Target Client may elect to cancel and receive a full refund, or proceed under an agreed expedited schedule. - 3.7 Artistic Subjectivity: Audio engineering involves subjective aesthetic appraisal. Stylistic dissatisfaction does not constitute grounds for a monetary refund. All aesthetic adjustments must be resolved within the contracted revision rounds. Documented technical non-conformities (e.g., digital clipping introduced by soundquantums, truncation, missing stems) will be rectified at no charge.
- 3.8 Refund Execution: Approved refunds are credited to the original payment source within fourteen (14) calendar days, net of third-party processor fees.
4. Revision Protocol, Scope Management & Surcharges
- 4.1 Revision Allotment: The Basic Package includes up to three (3) consolidated revision rounds. The Professional and Premium Packages include unlimited revision passes governed strictly by Clause 4.2A. Additional revision rounds for Basic tiers are billed at ₹1,500 ($25 USD) per round.
- 4.2 Consolidated Feedback Mandate: A revision round is legally defined as a single, consolidated written document or message containing timestamped notes (e.g.,
01:24 - Lower lead vocal volume by 1.2 dB; 02:45 - Soften drum room reverb). Fragmented feedback, social media messages, or scattered voice notes will not be processed until consolidated. - 4.2A Terms of "Unlimited Revisions": Where a package includes unlimited revisions: (a) each round must be consolidated under Clause 4.2; (b) requests must apply strictly to adjustments of balance, EQ, dynamics, and space within originally submitted stems; and (c) all requests must be submitted within thirty (30) calendar days of the delivery of Preview Version 1. Following 30 days, further revisions are billed at ₹1,500 ($25 USD) per pass. Marketing claims of “satisfaction guaranteed” refer to this revision commitment and do not imply cash refunds.
- 4.3 Review Period: The Client is granted seven (7) calendar days following preview delivery to evaluate the mix and supply consolidated feedback.
- 4.4 Deemed Acceptance: If no feedback or communication is received within seven (7) days, soundquantums will issue a written status reminder. If no response is received within three (3) additional calendar days thereafter, the latest delivered Preview is deemed accepted in full, the project is marked complete, and the final Milestone 2 balance becomes immediately payable.
-
4.5 Scope Exclusions & Surcharges: Revisions cover fine-tuning of original stems. The following requests constitute an expansion of project scope and trigger an Additional Production Surcharge (minimum ₹1,500 / $25 USD per instance):
- Supplying replacement audio takes, newly recorded vocals, or swapped beat stems after mixing has commenced;
- Structural arrangement changes, key modifications, or tempo/BPM shifts;
- Requests for alternate deliverables (e.g., clean radio edits, performance TV tracks, acapella masters, instrumental bounces) not contracted in the original Booking Confirmation.
5. Delivery Escrow, Previews & Proprietary Session Files
- 5.1 Evaluation Previews: Previews are delivered for private monitoring and evaluation purposes only. Previews may contain low-bitrate compression, digital time-domain limits, or acoustic watermarks.
- 5.2 Escrow Condition on Master Release: Final uncompressed masters (24-bit/48kHz WAV, 16-bit/44.1kHz WAV, DDP images) are held in digital escrow and will be released to the Client strictly and solely upon cleared receipt of Full Payment (100%).
- 5.3 Electronic Delivery & Backup Window: Deliverables are transmitted via secure cloud download links (e.g., Google Drive, Dropbox, WeTransfer). Links remain active for fourteen (14) calendar days. The Client must download and verify all files promptly. Technical defects reported within seven (7) days of delivery will be corrected free of charge.
- 5.4 Exclusion of Proprietary Workstation Files: Contracted Deliverables include the rendered audio files only. Studio Materials—including native DAW session files (Pro Tools
.ptx, Logic Pro.logicx, Ableton Live.als), plugin settings, internal bus routing architectures, hardware recall notes, and mixing templates—constitute trade secrets and proprietary intellectual property of soundquantums. They are strictly excluded from deliverables and will not be provided unless a separate commercial buyout is negotiated under a written agreement. Mix stems are included only where explicitly contracted (Premium Package).
6. Intellectual Property, Conditional Assignment & Berne Convention
- 6.1 Client Rights in Source Material: You retain all pre-existing copyrights, title, and ownership in and to the Client Materials. You grant soundquantums a non-exclusive, royalty-free license to copy, store, modify, process, and manipulate Client Materials solely to fulfill the contracted Services.
- 6.2 Studio Title in Intermediate Contributions: To the extent any separate copyright, technical authorship, or related right vests in the Studio Contributions, legal title remains vested in soundquantums until Full Payment clears under Clause 6.4.
- 6.3 Prohibition of Unlicensed Commercial Exploitation: Prior to cleared Full Payment, you possess only a revocable, personal license to listen to Previews for evaluation. You have no legal right to upload, stream, distribute, sync, broadcast, publicly perform, or commercially exploit any Preview, master draft, or interim file. Any unauthorized release prior to final invoice payment constitutes willful copyright infringement under the Berne Convention, the Indian Copyright Act (1957), and Title 17 of the United States Code.
- 6.4 Global Assignment Upon Full Payment: Conditioned upon and effective immediately from the receipt of Full Payment in cleared funds, soundquantums irrevocably assigns to the Client all worldwide rights, title, and economic copyright in the sound recording masters created under the specific project scope. The provisions of Section 19(4) and Section 19(5) of the Indian Copyright Act, 1957 are expressly waived and excluded; this assignment shall not lapse due to non-exercise within one year, and shall operate worldwide in perpetuity across all formats now known or hereafter devised.
- 6.5 Moral Rights: To the fullest extent permitted by applicable law, soundquantums waives any moral rights or right of integrity that would prevent you from editing, remastering, or remixing the Deliverables following Full Payment. soundquantums reserves the right to request the withdrawal of its engineering credit from any subsequent derivative edit it did not approve.
- 6.6 Incorporated Studio Materials: If any incidental sound effect, synthesized sub-drop, or custom acoustic sample from soundquantums’ independent library is embedded in the Deliverables, soundquantums grants you a perpetual, irrevocable, worldwide, royalty-free, non-exclusive license to exploit that sample solely as an integrated part of the finished master. Independent extraction or resale of such samples is strictly prohibited.
7. Client Warranties, Sample Clearances & Indemnification
-
7.1 Client Warranties: The Client explicitly warrants and represents that:
- It is the sole owner of, or has acquired all necessary worldwide licenses, releases, and clearances for, all Client Materials, including samples, interpolations, vocal features, beats, and lyrical content;
- All featured performers, musicians, and voice talent have executed binding releases consenting to recording, post-production, and commercial distribution;
- The Client Materials do not infringe upon any third-party copyright, trademark, trade secret, or privacy right, and do not contain unlawful, defamatory, or libelous content;
- No existing recording, publishing, management, or distribution agreement prevents the Client from executing this contract or fulfilling its terms.
- 7.2 Artificial Intelligence Disclosures: The Client must disclose prior to booking if submitted stems contain generative AI compositions or cloned vocal models. The Client warrants that the terms of the respective AI platform grant full commercial rights. soundquantums assumes no legal responsibility for downstream copyright rejections or DSP takedowns resulting from AI-generated source assets.
- 7.3 Client Indemnification: The Client agrees to indemnify, defend, and hold harmless soundquantums, its proprietor, assistants, and contractors from and against any and all claims, damages, liabilities, losses, judgments, settlements, legal costs, and attorney fees arising directly or indirectly out of: (a) any breach of the Client’s warranties; or (b) any copyright infringement, unauthorized sampling, or third-party claim brought against soundquantums concerning Client Materials.
- 7.4 Studio Indemnification: soundquantums warrants that any proprietary sound samples or independent sound design added by soundquantums to the final Deliverables do not infringe third-party intellectual property rights, subject strictly to the liability cap in Clause 8.3.
8. Engineering Standards & Limitation of Liability
- 8.1 Professional Standard: soundquantums will perform all Services with reasonable professional skill, care, and diligence conforming to international audio engineering industry practices.
- 8.2 Commercial Disclaimers: soundquantums does not warrant or guarantee commercial success, chart performance, streaming playlist placement, algorithm optimization, radio rotation, or acceptance by third-party labels, publishers, or distribution aggregators.
- 8.3 Liability Cap: To the maximum extent permitted by applicable law, the total cumulative liability of soundquantums, its proprietor, and contractors for any and all claims, whether sounding in contract, tort (including negligence), breach of statutory duty, or otherwise, shall be strictly limited to the actual service fees paid by the Client to soundquantums for the specific project giving rise to the claim.
- 8.4 Exclusion of Consequential Damages: In no event shall soundquantums be liable for any lost profits, lost streaming royalties, missed commercial release deadlines, tour or marketing expenses, damage to professional reputation, or any indirect, incidental, special, or consequential damages, even if advised of the possibility of such losses.
- 8.5 Backup Mandate: The Client must retain permanent local master backups of all submitted stems and raw files. In the event of catastrophic data corruption or loss while stored at soundquantums, our sole legal obligation is to re-execute the audio post-production from your provided backup files at no additional charge.
9. Confidentiality, Production Credits & Portfolio Display
- 9.1 Unreleased Music Non-Disclosure: soundquantums treats all unreleased audio recordings, stems, lyrics, song concepts, and release timelines with strict commercial confidentiality. We will not share, broadcast, or disclose unreleased material to third parties, except to vetted engineering assistants bound by written confidentiality agreements.
- 9.2 Production Credits: The Client agrees to use reasonable commercial efforts to include production credit in streaming platform metadata (e.g., Spotify, Apple Music credits), liner notes, and video/film descriptions as follows:
• “Mixed by Anurag Soni at soundquantums” and/or “Mastered by Anurag Soni at soundquantums” (or “Mixed & Mastered by soundquantums”).
Inadvertent omission of credit does not constitute a material breach, provided the Client corrects metadata in subsequent updates. - 9.3 Portfolio Display License: Following the public commercial release of a project by the Client, the Client grants soundquantums a non-exclusive, perpetual, worldwide, royalty-free license to use brief excerpts (up to 45 seconds) of the finished master, alongside track titles, artist names, and cover artwork, on soundquantums’ website, social channels, and client portfolio strictly for promotional demonstration.
- 9.4 Before-and-After Comparisons: soundquantums will utilize raw, unprocessed Client Materials in public before-and-after audio demonstrations strictly if the Client has granted express written opt-in consent during booking.
- 9.5 Portfolio Opt-Out: The Client may opt out of portfolio display by providing written notice at the time of booking. If an artist or label subsequently requests removal of released portfolio media, soundquantums will remove the media within fourteen (14) calendar days of receiving written notice.
10. Data Protection & File Purge Policy (DPDP Act & GDPR)
- 10.1 Privacy Compliance: soundquantums processes client personal data in accordance with its Privacy Policy (https://soundquantums.com/privacy-policy/), complying with the Digital Personal Data Protection Act, 2023 (India) and the General Data Protection Regulation (GDPR).
- 10.2 Storage of Identifiable Voices: The Client acknowledges that audio multitracks may embody identifiable human voices. The Client warrants that it holds all necessary consents from recording artists to submit their vocal performances to soundquantums for technical processing.
- 10.3 30-Day Active File Retention Schedule: Due to storage constraints, active multitrack stems, intermediate bounces, and project session archives are retained locally for thirty (30) calendar days following final delivery and Full Payment. Upon expiration of the 30-day window, project files may be permanently purged from active hard drive storage without further notice. Permanent storage is the sole responsibility of the Client.
- 10.4 Statutory Financial Records: Invoicing records, transaction IDs, and tax documentation are archived for eight (8) financial years as mandated by Indian taxation laws.
11. Remedies for Non-Payment, Chargebacks & DMCA Takedown Authority
- 11.1 Remedies for Breach of Payment: If the Client fails to clear Milestone 2 balance invoices or initiates an unjustified payment dispute, soundquantums reserves the immediate right to: (a) suspend all current work; (b) withhold all Deliverables; (c) revoke any interim evaluation license; and (d) serve notice to distributors and DSPs.
- 11.2 Digital Millennium Copyright Act (DMCA) & WIPO Takedown: In the event an unpaid or partially paid mix or master is distributed commercially without Full Payment, soundquantums, as legal owner of the technical master rights under Clause 6, will exercise its statutory right to issue DMCA Takedown Notices (17 U.S.C. § 512) and global copyright infringement notices to digital distributors (e.g., DistroKid, TuneCore, CD Baby), streaming platforms (Spotify, Apple Music, YouTube, TikTok), and hosting providers to immediately remove the infringing recording.
- 11.3 Prohibition of Unjustified Chargebacks: The Client agrees not to initiate fraudulent chargebacks, payment reversals, or bank disputes following the delivery of mix previews. In the event of an unjustified reversal, the Client is liable for the full project fee, payment provider penalties, and legal recovery expenses.
12. Governing Law, Fast-Track Arbitration & Jurisdiction
- 12.1 Substantive Law: These Terms, and all contractual and non-contractual matters arising out of or related to this engagement, shall be governed by, construed, and enforced in accordance with the substantive laws of the Republic of India, without reference to its conflict of laws principles.
